These Terms of Service apply to websites, content, communities, subscriptions, events, products, consultations, mentorships, and related services operated by Shamuelz universe Llc, 111 W 41st St, Bayonne, NJ 07002 ("Shamuelz," "we," "us," or "our").
By using our websites or purchasing from us, you agree to these terms. If you do not agree, do not use the services.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase paid services. If you access our services on behalf of a business, you represent that you have authority to bind that business.
2. Services and Content
We may offer digital content, memberships, Inner Circle access, books, consulting, mentorship, brand collaborations, community access, events, and related services. Specific deliverables, dates, access windows, and pricing may be listed on the checkout page, invoice, proposal, or written agreement.
3. No Guaranteed Results
Results are not guaranteed. Testimonials, examples, revenue discussions, audience growth, music outcomes, business outcomes, or creative outcomes are illustrative only. Your results depend on your effort, market conditions, timing, execution, budget, platform rules, and other factors outside our control.
4. Payments
Prices are shown before checkout. You authorize us and our payment processors to charge the selected payment method for one-time purchases, subscriptions, payment plans, taxes, and fees where applicable. Payment obligations are not contingent on your usage unless the specific offer says otherwise in writing.
5. Subscriptions and Cancellation
Subscriptions renew automatically until canceled. You may cancel through the same account, checkout, or support channel made available for the subscription, or by contacting support using the contact information below. Cancellation stops future renewals but does not automatically refund prior charges unless required by law or stated in our Refund Policy.
6. Refunds
Refunds are governed by our Refund Policy and any written agreement for a specific service. If a contract or statement of work has different refund terms, the signed contract controls for that engagement.
7. User Conduct
You agree not to misuse the services, harass others, scrape private areas, share login access, spam, reverse engineer protected systems, upload unlawful content, infringe intellectual property rights, or violate platform rules.
8. Intellectual Property
All content, frameworks, training materials, videos, music, designs, copy, templates, course materials, and brand assets provided by us are owned by Shamuelz or its licensors unless stated otherwise. You receive a limited, non-transferable license for personal or internal business use only. You may not resell, publish, copy, distribute, or train AI systems on our paid materials without written permission.
9. Client Materials
If you provide content, music, footage, logos, account access, or other materials, you represent that you have the rights needed for us to use them to provide the services. You grant us a limited license to use those materials for the engagement.
10. Confidentiality
For paid consulting, mentorship, agency, and brand engagements, each party should protect non-public business, financial, creative, and personal information shared during the relationship. Separate written agreements may add stricter confidentiality terms.
11. Third-Party Platforms
We may use Stripe, PayPal, Calendly, ManyChat, Meta, Instagram, TikTok, YouTube, Google, email tools, analytics tools, and other providers. We are not responsible for third-party outages, rules, fees, account decisions, or data practices.
12. Limitation of Liability
To the maximum extent permitted by law, Shamuelz universe Llc and its owners, contractors, affiliates, and partners will not be liable for indirect, incidental, consequential, special, punitive, lost-profit, lost-revenue, data-loss, account-loss, or platform-related damages. Our total liability for any claim is limited to the amount you paid us for the service giving rise to the claim during the three months before the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Shamuelz universe Llc from claims arising out of your content, your breach of these terms, your unlawful conduct, or your misuse of the services.
14. Changes
We may update these terms from time to time. The updated version will be posted on this page with a new effective date.
15. Governing Law
These terms are governed by the laws of New Jersey, without regard to conflict-of-law principles, unless consumer protection laws require another jurisdiction.
